What's not included
- ×Your underlying systems themselves (EHR, RPM devices, LIS, scheduling) — Emma plugs into them, she doesn't replace them
- ×CPT billing workflows
- ×Custom integrations beyond the standard multimodal adapter pattern
- ×App Store / Play Store publishing under your developer account (available as a service)
Term & terms
- 24-month initial term, auto-renewing
- Non-exclusive by default; segment exclusivity available as a premium tier
- IP retained by Jolabdan Group LLC; you receive a license to use, not modify or sublicense
- Termination: 180 days for convenience, 60 days for cause with cure
- Data export + 90-day deletion SLA on termination
Diligence package (for equity-component licenses)
For licenses that include an equity component, we operate from a shared factual base. Under mutual NDA, we'll need:
- Your current cap table
- Most recent 409A or independent FMV opinion
- Articles of incorporation + bylaws
- Outstanding preferred-stock terms, SAFEs, convertible notes
- Audited/reviewed financials for last 2 fiscal years
- Material contracts list
